Uhpenry Terms of Service

Before you start using Uhpenry, please take a moment to read our Terms of Service carefully. This agreement is an important legal contract between you and Uhpenry.

To make things easier, we've included a plain-language summary at the top of each page and section, summaries aren't legally binding, but they help explain the key points.

A. Access to Uhpenry's Services

By using Uhpenry, you're agreeing to these Terms of Service (this “Agreement”). “Uhpenry”, “we”, “our”, or “us” refers to the Uhpenry platform and its team. The “Services” include any products, features, or tools we provide, unless otherwise stated in additional terms (which may apply to specific features or programs). Please note that any software we release under open-source licenses, such as components you might use or integrate, are governed by those separate open-source licenses and not this Agreement.

By accessing or using Uhpenry, you confirm that you've read, understood, and agree to be legally bound by this Agreement.

If you're using Uhpenry on behalf of a company, organization, or other legal entity, you confirm that you have the authority to bind that entity to this Agreement. In that case, “you” refers to that entity. If you don't have that authority or don't agree to these terms, you may not use our Services.

IMPORTANT: PLEASE REVIEW THE MUTUAL ARBITRATION CLAUSE SET FORTH BELOW CAREFULLY, AS IT WILL REQUIRE YOU TO RESOLVE DISPUTES WITH UHPENRY THROUGH FINAL AND BINDING ARBITRATION. BY ENTERING THIS AGREEMENT, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND ALL OF THE TERMS OF THIS MUTUAL ARBITRATION CLAUSE.


B. Account Eligibility and Security

To use Uhpenry, you must be at least 13 years old. If you're under 13, you are not permitted to create or use an account in accordance with U.S. law. If we discover that someone under 13 is using Uhpenry, we will immediately terminate their account. If you reside outside the United States, you're responsible for complying with your country's minimum age laws.

You must be a human to create a personal account. Accounts created by bots or through automated methods are not allowed.

One person or legal entity may only maintain one free account.

Each account login is for a single user only, shared credentials are not permitted. If you're part of an booth account, each Booth member must have their own unique login credentials.

You are responsible for maintaining the security of your account and password. Uhpenry provides tools like two-factor authentication to help, but you are fully responsible for what happens under your account, including any content posted and actions taken, even by others if they have authorized access under your account.

If you suspect unauthorized access or usage of your account, notify us immediately so we can help secure your data. Please refer to our Account Recovery Policy, which outlines the steps to take if you lose access to your account.


C. Grant of Limited Use License

During the period you are authorized to use Uhpenry's Services, and subject to your compliance with the terms of this Agreement, you are granted a personal, non-sublicensable, non-exclusive, non-transferable, limited license to use the Services for your personal or internal business purposes according to the service capacity of your account. Any rights not expressly granted herein are reserved, and no license or right to use any trademark of Uhpenry or any third-party is granted to you in connection with the Services.


D. Project Hosting and Rights

Summary: You retain full ownership and responsibility for the content you publish to Uhpenry. To allow us to provide our services, you grant us a limited license to host, process, display, and deliver your content to others as permitted by your project settings. We may remove content or restrict access if it violates any of the Acceptable Use Policies stated or legal obligations.

1. Responsibility for Content

You are solely responsible for any software, projects, data, documentation, or other material ("Your Content") that you list, publish, or make available on Uhpenry. This includes any consequences arising from that content's use, whether publicly accessible or distributed through Uhpenry's private monetization tools.

2. Content Ownership and Licensing

You retain all rights, title, and interest in and to Your Content. Uhpenry does not claim ownership. However, by using the platform, you grant us a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, and deliver Your Content for the purposes of operating and improving Uhpenry, enforcing policy compliance, enabling marketplace features, and fulfilling your explicit configurations (such as allowing users to browse or download gated content).

This license does not allow us to:

  1. Sell your content independently
  2. Modify your content unless required for processing, formatting, indexing, or delivering the content (e.g., rendering Markdown or metadata)

3. Permissions to Other Users

Based on the visibility and licensing settings you apply to your project (public or private):

  1. Users may view, browse, or download Your Content if you explicitly allow them via your project settings.

If your project or product includes a license, you are responsible for ensuring that license terms permit the actions you enable on Uhpenry.

4. Platform Rights

We reserve the right to review, remove, disable, or restrict access to any Content that:

  1. Violates our policies, applicable laws, or third-party rights
  2. Is flagged for abuse, malware, or security threats
  3. Is subject to takedown requests or legal disputes

In such cases, we will, where required by law or our policies, notify you and allow for a response or appeal.

5. Moral Rights

You retain any moral rights to attribution or integrity of your Content. However, to the extent necessary for Uhpenry to operate effectively, you agree not to assert these rights against us.


E. Acceptable Use

Summary: You may only use Uhpenry for lawful, respectful, and authorized purposes. Activities like hacking, spamming, misrepresenting others, abusing the platform, or hosting illegal content are not allowed.

F. Projects on Uhpenry

Summary: Projects on Uhpenry are how developers earn money while maintaining control. They are not forkable or cloneable, and access is strictly managed by the project owner. We treat all private and public project content as confidential and secure.

1. Control and Access

Projects are only visible within your booth account or the platform based on your booth settings and can be shared with specific members or users based on the access model you define, whether free, paid, or fully restricted. Access can be granted through repository invites or direct downloads. You can also choose to showcase projects with limited public browsing while keeping the source restricted.

2. Confidentiality and Protection

Uhpenry treats project content as confidential. We protect it with the same level of care as our own sensitive data. We do not access, use, or disclose your private project content unless:

  1. You explicitly give permission (e.g. for support or integration purposes),
  2. It's required for platform maintenance or security,
  3. It's necessary to comply with legal obligations,
  4. Or it is found to be in violation of our Acceptable Use Policy.

3. Transparency

We will notify you before accessing any private project content, unless restricted by law or required for automated abuse or threat detection.


G. Licensing Terms

Summary: All projects on Uhpenry must have a license that clearly states how the content can be used, modified, redistributed, or commercialized. This protects the user, booth, and Uhpenry. Licensing terms are enforced within the platform.

1. Required for All Projects

All projects on Uhpenry, whether free or paid, public or private, must include a valid license. This license governs how users, collaborators, or other authorized parties may use the project, including any permissions, limitations, or restrictions.

2. Role of the License

Licenses provide clarity and protection. They may grant or limit:

  • Modification or derivative works
  • Redistribution rights (commercial or non-commercial)
  • Usage rights (personal, internal, or commercial use)
  • Access rights and scope of usage (single-use, perpetual, etc.)

Projects without an attached license are not eligible for publication or distribution through the platform. If, for any reason, a project is made available on the platform without a license, it is treated as “all rights reserved”, meaning no rights are granted to use, modify, or redistribute it.

Uhpenry enforces compliance with license terms within the scope of the platform. For example, if a license restricts redistribution, the platform will take action immediately when reported to prevent projects re-list.

3. License Visibility and Selection

Licenses are shown clearly on the project detail page. Booths may choose from supported standard licenses (e.g., MIT, GPL, custom) or create a custom license using our license editor.

4. License Enforcement Within the Platform

Uhpenry is not a legal authority but does enforce license terms within the platform by:

  • Blocking access to projects that violate terms
  • Providing project owners with tools to take action
  • Suspending or revoking accounts that repeatedly bypass license requirements
  • Restricting re-distribution or re-listing of licensed works by unauthorized users

H. Community Conduct

You may not use Uhpenry to host, promote, or link to any content that is abusive, hateful, unlawful, or otherwise objectionable. Uhpenry reserves the right to monitor usage patterns, investigate reports of abuse, and take action, including content removal or account termination, if we believe your use violates our Acceptable Use Policy or Community Guidelines or any part of this Agreement.


I. Copyright Infringement and DMCA Policy

Uhpenry respects the intellectual property rights of others and expects users to do the same. If you believe that content on Uhpenry infringes your copyright, you may file a notice under the Digital Millennium Copyright Act (DMCA).

To submit a DMCA takedown request, please include:

  1. A physical or electronic signature of the copyright owner or authorized agent
  2. A description of the copyrighted work you claim has been infringed
  3. A description of the content and its location on Uhpenry
  4. Your contact information (email, phone number, and address)
  5. A statement that you believe in good faith that the use is unauthorized
  6. A statement that the information in your notice is accurate, and that you're authorized to act on behalf of the copyright owner

Uhpenry may remove or disable access to allegedly infringing content and may terminate repeat infringers' accounts. For more details, see our Uhpenry DMCA Policy.


J. Termination and Account Closure

Summary: You may close your Account or Booth account at any time. Account and project deletions are delayed to ensure fairness and integrity for all users, including users.

1. User Account Deletion

You may request to delete your Uhpenry account at any time by contacting support. As of this writing (13/08/2025), self-service account deletion from the dashboard is not yet available.

During this period, it is the project owner's responsibility to notify all affected users and provide necessary resources or guidance to migrate projects, access files, or maintain continuity.

Account deletion requests are subject to a delay of no less than 24 hours and no more than 35 days from the time of confirmation. This delay exists to protect users who may rely on your account for access to active licenses, receipts, project updates, or other essential resources. It also allows time to resolve pending transactions or disputes.

If you're a user, you will retain access to any previously purchased licenses, as per our Uhpenry Snapshot Policy. However, because the booth's account may be deleted, you may no longer receive updates for that project and its associated files.

2. Booth Account Deletion

If you choose to delete your booth account, you may either:

  1. Initiate Booth account Deletion directly, which will occur according to the following schedule:
    • Draft projects and public projects will be deleted instantly.
    • Private projects will follow a 1–35 day deletion delay, providing time for users or collaborators to respond or download permitted files.
  2. Delete individual projects first, applying the same deletion schedule above to each project.

This ensures transparency and gives users or collaborators time to respond or download permitted files before they are removed.

3. Revoking Permissions and Data Rights

You may revoke any previously granted permissions by deleting your account or Booth account. Upon final deletion, all access and rights you granted to Uhpenry will be terminated. However, some anonymized or legal audit data may be retained as required by law or for security purposes.

4. Uhpenry May Terminate

Uhpenry reserves the right to suspend or terminate your access to all or part of the platform at any time, with or without notice, if we believe you are in violation of these Terms or applicable laws. We may also refuse service to anyone for any reason.

5. Survival

All provisions of this Agreement that, by their nature, should survive termination, such as ownership clauses, disclaimers, indemnities, and limitations of liability, will continue to apply after termination.


K. Limitation of Liability

Summary: Uhpenry is not liable for any damages or losses that may arise from your use, or inability to use, our services. This section limits our legal responsibility to you.

You agree that Uhpenry, its founders, employees, agents, partners, and service providers will not be liable to you or any third party for any loss of profits, revenue, goodwill, data, or other intangible losses, or for any indirect, incidental, special, consequential, punitive, or exemplary damages that result from:

  1. the use, disclosure, or display of your content, projects, or booth materials;
  2. your use of, inability to use, or lack of access to the Uhpenry platform;
  3. delays, errors, modifications, interruptions, suspensions, price changes, or discontinuation of any part of the service;
  4. the performance or non-performance of the platform or any underlying technology;
  5. unauthorized access to, loss of, or alteration of your data or communications;
  6. interactions or snapcharges with any other user on or through Uhpenry;
  7. disputes related to licensing, delivery, or access rights;
  8. or any other issue related to your use of the service.

This limitation of liability applies whether or not Uhpenry has been advised of the possibility of such damages and even if any remedy fails of its essential purpose.

To the fullest extent permitted by law, our total liability for any claim related to this agreement or your use of the service will not exceed the greater of (a) one hundred U.S. dollars ($100), or (b) the total amount you paid Uhpenry in the twelve (12) months prior to the event giving rise to the liability.

Reimbursement for Violations:
If a users violates these Terms, such as committing fraud, intellectual property infringement, or unauthorized distribution, Uhpenry may require the users to return or reimburse any funds earned from the violating activity through the platform.

  • Reimbursement requests will be communicated directly by Uhpenry.
  • Only funds directly related to the violating activity may be recovered.
  • Users are expected to comply within a reasonable time frame.

We are also not liable for delays or failures caused by events outside our reasonable control, such as force majeure events, internet outages, third-party service disruptions, legal restrictions, or technical issues.


L. Disclaimer of Warranties

Summary: Uhpenry provides its platform on an "as is" and "as available" basis. We make no warranties regarding the functionality, reliability, or security of the service.

You acknowledge that Uhpenry is provided to you without any warranties, express or implied. Specifically, we make no warranties about:

  1. The availability, accuracy, completeness, or reliability of the platform, its content, or any related services.
  2. The compatibility of the platform with your specific hardware or software environment.
  3. The uninterrupted, error-free operation of the platform or its services.
  4. The correction of bugs, errors, or defects in the platform.
  5. The security of your data or communications during transmission via the platform.

To the fullest extent permitted by law, Uhpenry, its founders, employees, agents, and service providers disclaim all implied warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

While we are committed to improving Uhpenry and ensuring its smooth operation, we cannot guarantee that it will always meet your expectations or be free from issues. We do not warrant that:

  1. The platform will meet your specific needs or expectations.
  2. There will be no delays, interruptions, or errors in your access or use of Uhpenry.
  3. Any content, including third-party integrations, is free from viruses, defects, or errors.

You use Uhpenry at your own risk, and you agree that we are not responsible for any loss, damage, or harm that arises from your use or inability to use the platform, including any reliance on its features or services.

This disclaimer of warranties applies whether or not Uhpenry has been advised of the possibility of such issues or damages.


M. Release and Indemnification

Summary: You agree not to hold Uhpenry responsible for disputes with other users and promise to cover any damages we suffer due to your misuse of the platform.

1. Release

If you have a dispute with another user or party, you agree to release Uhpenry (including our founders, employees, contractors, and partners) from any claims, demands, and damages of any kind, whether known or unknown, arising out of or related to that dispute. This release does not apply if the issue is caused directly by Uhpenry's gross negligence or intentional misconduct.

2. Indemnification

You agree to defend, indemnify, and hold harmless Uhpenry from any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from:

  1. your use or misuse of the platform;
  2. your content, projects, or booth listings;
  3. your violation of these Terms, applicable laws, or third-party rights.

Uhpenry will provide notice of any such claim and may allow you to manage the defense, so long as you do so responsibly and at your own cost.


N. Dispute Resolution and Escalation

Summary: Uhpenry provides tools to facilitate resolution between users and sellers. If the issue cannot be resolved directly, it may be escalated to Uhpenry for a final decision. See our Dispute Resolution Policy for full details.

1. Dispute Resolution Tools

Uhpenry offers built-in tools that allow users (sellers and users) to resolve disputes related to snapcharges, licensing, and access rights. We encourage users to first try and resolve disputes independently by communicating directly through these tools.

2. Escalation Process

If a resolution cannot be reached between the user and seller, the issue can be escalated to Uhpenry for further review. When a dispute is escalated:

  1. Uhpenry will evaluate the situation based on available evidence, platform policies, and agreements between the parties involved.
  2. We will issue a final decision within the scope of the platform. This decision may include, but is not limited to, issuing refunds, enforcing a contract, or suspending a user's access to the platform.

You understand and agree that Uhpenry is not a court of law or a formal arbitrator. While we may take steps to enforce agreements between users, such as granting or revoking access, issuing refunds, or suspending accounts, these actions apply only within the Uhpenry platform. Our decisions are final in that scope but are not legally binding outside of Uhpenry.

Uhpenry's dispute resolution process is designed to mediate and resolve conflicts within the platform, but we are not a court of law or a formal arbitration body. Our decisions are final within the platform but are not legally binding outside of it.

4. Limited Platform Responsibility

Uhpenry will not be held responsible for any damages, losses, or consequences resulting from the resolution of a dispute, unless the outcome was directly caused by Uhpenry's gross negligence or intentional misconduct.

5. Release of Liability

By using Uhpenry's dispute resolution tools, you agree to release Uhpenry (including our founders, employees, contractors, and partners) from any and all claims, demands, and damages related to the outcome of a dispute, except in cases where Uhpenry's gross negligence or intentional misconduct caused the issue.

6. Indemnification

You agree to indemnify and hold harmless Uhpenry from any claims, liabilities, or expenses (including reasonable legal fees) arising out of:

  1. your use or misuse of the platform;
  2. the content, snapcharges, or booth listings involved in the dispute;
  3. your violation of these Terms or applicable laws.

O. Changes to These Terms

We may update our terms occasionally, but we'll notify you of significant changes, like price increases, well in advance. Minor updates may not require individual notification.

1. Right to Modify

We reserve the right to amend these Terms of Service at any time, at our sole discretion. When we make material changes, like altering prices or introducing significant new features, we'll inform you at least 30 days before these changes take effect. You'll be notified through a notice on our Website or by sending an email to the primary email address you've provided.

2. Agreement to Changes

By continuing to use the service after these 30 days, you agree to the updated Terms. For any other updates or minor revisions, your ongoing use of the platform will be treated as your acceptance of the new terms.

3. Review Changes

You can always check the changes made to these Terms by visiting our Site Policy repository.

4. Modification or Discontinuation

We also reserve the right to modify, suspend, or discontinue the Website or any part of the service, temporarily or permanently, with or without prior notice.


P. Intellectual Property Notice

Uhpenry owns its platform and branding, not the content users create or upload. You keep all rights to your own work.

1. Uhpenry's Rights to the Platform

Uhpenry and its licensors retain ownership of all intellectual property related to the platform itself, including but not limited to the frontend and backend code (unless otherwise open-sourced), design elements, trademarks, and proprietary logic. All rights not expressly granted are reserved. You may not reuse or replicate any part of Uhpenry's infrastructure or branding without written permission, unless explicitly shared under an open license.

2. Users' Rights to Their Content

You retain full ownership of all content, code, assets, or materials you upload, post, or publish on Uhpenry. We do not claim any ownership over your work. By using Uhpenry, you grant us a limited license to display and distribute your content strictly for the purpose of operating and improving the service (e.g., showing your repo listing or serving downloads to users).

3. Open Source Commitments__

We license this Agreement and other legal documents published on our site under the Creative Commons Zero (CC0) license, meaning you're free to reuse or adapt them for your own projects without attribution.


Q. Mutual Arbitration

Summary: Both you and Uhpenry agree to resolve most disputes through binding arbitration, rather than in court, with some exceptions.

To the fullest extent permitted by law, you and Uhpenry agree to resolve any dispute, claim, or controversy arising out of or relating to these Terms, the platform, or your use of Uhpenry through final and binding arbitration, rather than in court. This includes disputes based on contract, tort, statute, fraud, misrepresentation, or any other legal theory.

1. Exceptions

Either party may still bring the following claims in court:

  1. Claims that qualify for small claims court.
  2. Claims for injunctive or equitable relief related to intellectual property rights or unauthorized access to the service.
  3. Claims that cannot be subject to arbitration under applicable law.

2. Rules and Forum

Arbitration will be administered by a recognized arbitration organization (such as the American Arbitration Association or JAMS), using their applicable commercial arbitration rules. The arbitration will be conducted in English and, unless otherwise required, in a mutually agreed location, or remotely if necessary.

3. Waiver of Jury Trial and Class Actions

You and Uhpenry waive any right to a jury trial and agree not to bring or participate in a class, collective, or representative action against each other. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.

4. Individual Basis Only

Unless we both agree otherwise, no arbitration may be combined with another without the consent of all parties. Arbitrations will be conducted on an individual basis, and not as part of a class-wide or consolidated proceeding.

5. Opt-Out

You may opt out of this arbitration agreement by sending a written notice to support@uhpenry.com within 10 days of first accepting these Terms. Your notice must include the following:

  1. Article title: "Opt-Out Arbitration" with your account ID.
  2. A clear statement that you wish to opt out of arbitration.
  3. Your name and the email address associated with your Uhpenry account.
  4. The request must come from the email address associated with your Uhpenry account. Any notices sent from a different email address will not be recorded, and the opt-out will not be valid.
  5. User ID should match the email address of the user.

If you do not opt out within this period, you will be bound by the arbitration agreement.

6. Enforcement and Severability

This arbitration agreement survives the termination of your account or relationship with Uhpenry. If any part of this section is found to be unenforceable, that part will be severed, and the remainder will remain in full force and effect.

R. Refund Policy

1. Refund Eligibility

Refunds may be granted under the following circumstances:

  1. Refunds Based on Booth Policies: Each booth on Uhpenry is responsible for setting their own refund policy, which must comply with the overall terms and conditions of Uhpenry. If a booth offers a refund on a purchase, the user may be eligible for that refund according to the specific terms set by the booth.
  2. Uhpenry's Role: While we facilitate transactions (snapcharges) between users and booths, we do not directly control booth refund policies. However, booths are required to follow Uhpenry's Terms of Service and Refund Policy, and their policies should not contradict these terms. In case of any discrepancies, Uhpenry's terms will take precedent.

2. Booth Refund Policies

Booths on Uhpenry are free to establish their own refund policies, which should be clearly stated in their terms and conditions. If you wish to request a refund from a booth, you should refer to their specific refund policy.

In general, a booth may issue a refund under the following conditions:

  1. Refund for Unused Content: If you have not accessed or downloaded the product purchased, you may be eligible for a refund based on the booth's policy.
  2. Technical Issues: If the product is not accessible due to technical issues, a refund may be issued, depending on the booth's refund policy.
  3. Unauthorized Charges: If you believe an unauthorized charge was made, you should contact the booth directly to resolve the iss

3. Uhpenry's Refund Policy

If a booth does not have a clearly stated refund policy or if their policy contradicts Uhpenry's, we will apply the following rules:

  1. Uhpenry's Refund Terms: For refunds that are requested based on a booth's failure to fulfill their obligations (e.g., providing access to purchased content), we will intervene in accordance with Uhpenry's Refund Policy
  2. Processing Fees: Please note that Stripe's processing fees (typically around 2.9% + $0.30 per snapcharge) are non-refundable, meaning your refund will be adjusted accordingly to reflect these fees. The refunded amount will be the purchase price minus both Uhpenry's and Stripe's transaction fee.

4. Refund Request Process

To request a refund, please follow these steps:

  1. Contact the Booth: First, reach out to the booth to review their refund policy and request a refund directly from them which they will initiate on the platform.
  2. Submit a Request to Uhpenry: If you are unable to resolve the issue with the booth, please contact Uhpenry's support team at support@uhpenry.com.
  3. Provide Necessary Details: Include your snapshot URL, and the reason for your refund request.
  4. Review Process: Uhpenry will review the request and, if necessary, intervene to ensure compliance with our Terms and Conditions. This may take up to **7 business days

5. Non-Refundable Purchases

The following purchases are non-refundable:

  1. Any purchase for which content has been fully accessed, downloaded, or used.
  2. Fees for completed transactions (snapcharges), including Stripe processing fee and Uhpenry.

6. Booth Terms and Conditions

Booths are required to comply with Uhpenry's overall Terms of Service and Refund Policy. Booths must also provide their own Booth Refund Policy that clearly outlines their terms for issuing refunds to users. This policy must not contradict Uhpenry's guidelines, and any booth refund terms should be transparently available to users.

S. Miscellaneous

1. Entire Agreement

These Terms, together with any other legal notices and agreements published by Uhpenry on the Platform, shall constitute the entire agreement between you and Uhpenry concerning the use of the Platform. These Terms supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Uhpenry with respect to the Platform.

2. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by any court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect. The invalid or unenforceable provision will be replaced by a valid provision that most closely reflects the original intent.

3. Waiver

The failure of Uhpenry to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Uhpenry.

4. Assignment

5. Force Majeure

Uhpenry will not be liable for any delay or failure to perform its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, strikes, labor disputes, technical failures, or government actions.

6. Survival

Any provisions of these Terms which by their nature should survive termination or expiration of these Terms shall survive. This includes, but is not limited to, sections on ownership, account deletion, limitation of liability, reimbursement obligations, and indemnification.

7. Headings

The section titles and headings in these Terms are for convenience only and have no legal or contractual effect.

8. Relationship of the Parties

Nothing in these Terms shall be deemed to create a partnership, joint venture, or agency relationship between you and Uhpenry. You and Uhpenry are independent contractors, and neither party has the authority to bind the other in any respect.

9. Notices

Any notices required or permitted under these Terms must be in writing and will be deemed given when delivered to the addresses provided by the parties. Notices to Uhpenry should be sent to the contact information available on the Platform. Notices to you may be sent to the email address you provided during registration.

10. No Third-Party Beneficiaries

These Terms are intended for the benefit of the parties hereto and not for any third party. No third party shall have any rights or remedies under these Terms, except as expressly provided herein.

11. Compliance with Laws

You agree to comply with all applicable local, state, and national laws and regulations, including export laws and regulations, in connection with your use of the Platform.

12. Electronic Communications

By using the Platform, you consent to receive electronic communications from Uhpenry, including but not limited to, emails, in-app notifications, and messages regarding your account and your use of the Platform. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically will satisfy any legal requirement that such communications be in writing.

13. No Implied Licenses

Except for the rights expressly granted in these Terms, nothing in these Terms shall be construed as granting any license or rights to use the Platform or any content in a way that is not expressly authorized herein.

14. Changes to These Terms

Uhpenry reserves the right to modify or amend these Terms at any time, in its sole discretion. Any changes will be posted on this page, and the effective date will be updated accordingly. Your continued use of the Platform after such changes will constitute your acceptance of the modified Terms.
