Payments, Refunds, and Usage

Platform Fee Policy

Terms governing the calculation, application, and disclosure of platform fees on Uhpenry.

This Platform Fee Policy (“Policy”) forms part of the Uhpenry Terms of Service. By listing, licensing, or selling projects through Uhpenry, you (“Booth”) agree to the fee structure and conditions set forth herein.


1. General

1.1 Uhpenry does not require monthly subscription fees for listing or selling projects.
1.2 Uhpenry charges a transaction-based fee (“Platform Fee”) on each eligible sale, calculated as a percentage of the net amount received after payment processing fees.
1.3 The Platform Fee is automatically deducted from the proceeds of each transaction at the time of successful payment.


2. Fee Rates

  • Standard Fee: Eight percent (8%) of the Booth's net sale amount.
  • Early Adopter Fee: Six percent (6%), applicable only to Booths who registered during Uhpenry's beta phase and retained such status.

3. Calculation Method

3.1 Upon completion of a purchase by a user:

(a) Payment processing fees (e.g., Stripe's fees) are deducted from the gross amount charged (“Snapcharge Amount”);
(b) The Platform Fee is applied to the resulting net amount; and
(c) The remaining balance is transferred to the Booth via Stripe Connect.

3.2 Payment processor fees may vary depending on the Booth's region, currency, and account configuration.


4. Scope of Platform Fee

The Platform Fee covers the cost of services provided by Uhpenry, which may include but are not limited to:

  • Hosting and infrastructure, including secure Snapgate and storage;
  • Licensing enforcement and digital signature snapshotting;
  • Dispute resolution and mediation services;
  • Access control and team management tools;
  • Developer analytics and Booth dashboards;
  • Customer support and trust tooling.

5. Exemptions

No Platform Fee shall apply to:

  • Transactions where the Snapcharge Amount is $0 (e.g., free tiers, free updates);
  • Internal Booth testing Snapgates;

6. Refunds

6.1 Platform Fees are non-refundable, except in cases where the refund is due solely to a platform error or malfunction directly attributable to Uhpenry.
6.2 Booths may, at their discretion, issue refunds that does not include the Platform Fee.
6.3 Payment processor fees are non-refundable in accordance with the processor's policy.


7. Records and Transparency

7.1 Booths shall have access to a complete record of Platform Fees and payment processor fees for each transaction via:

  • Snapcharge logs;

  • Snapgate metadata; and

  • Payout summaries available through Stripe Connect.

    7.2 All amounts are recorded and stored at the time of the Snapcharge and may be retained for audit and accounting purposes.


8. Amendments

8.1 Uhpenry reserves the right to amend this Policy.
8.2 Booths will be provided with at least thirty (30) days' advance notice via email and/or in-platform notification prior to the effective date of any change in the Platform Fee.
8.3 Booths with a locked-in Early Adopter Fee shall retain such rate unless their Booth account is permanently deleted.
